  1. GENERAL TERMS AND CONDITIONS

    1. GENERAL PROVISIONS

    1.1. These general terms and conditions apply to all offers, quotations, agreements, and deliveries of products and services by Gigi Gummies BV (hereinafter referred to as "Gigi Gummies") to its customers.
    1.2. Deviations from these terms are only valid if agreed upon in writing and apply solely to the specific agreement to which they relate.
    1.3. General terms and conditions of the customer or third parties are explicitly rejected, unless otherwise agreed in writing and confirmed by Gigi Gummies.
    1.4. By placing an order, the customer acknowledges having read and agreed to these general terms and conditions.
    1.5. The following definitions apply unless the context indicates otherwise:

    - Gigi Gummies: The company offering the products and/or services, registered with the Dutch Chamber of Commerce under number 91170400 and located at Ratelaar 85, 1964PL Heemskerk.
    - Customer: Any natural or legal person purchasing products or services from Gigi Gummies or entering into an agreement with Gigi Gummies.
    - Consumer: A customer acting outside their trade, business, or profession.
    - Business Customer: A customer acting in the course of their business or profession.
    - Product: Goods delivered by Gigi Gummies to the customer, such as supplements or other items offered through Gigi Gummies' website or other sales channels.
    - Agreement: The contract between Gigi Gummies and the customer regarding the delivery of products and/or services.
    - Delivery: The transfer of the product to the customer, either physically or digitally, depending on the agreement.
    - Right of Withdrawal: The customer's right to cancel the agreement within 14 days without providing a reason.
    - Complaint: A report of a defect or issue with a product or service delivered by Gigi Gummies.
    - Payment Term: The period within which the customer must pay for a product or service.
    - Services: Non-physical products provided by Gigi Gummies, such as consultations or digital services.
    - Personal Data: Information about an identified or identifiable person, as defined by the GDPR.
    - Withdrawal Period: The timeframe in which the customer can exercise the right of withdrawal.
    - Supplier: Any party delivering goods or services to Gigi Gummies.
    - Intellectual Property: All rights related to creative works developed or owned by Gigi Gummies, including copyrights, trademarks, and patents.

    1. FORMATION OF AGREEMENTS AND OFFERS

    2.1. An agreement is formed when the customer places an order through the Gigi Gummies webshop and meets the specified conditions. An order confirmation will be sent via email.
    2.2. An order is considered accepted when Gigi Gummies confirms receipt via automatic email confirmation. This is not yet an acceptance of the order.
    2.3. The agreement becomes binding once Gigi Gummies accepts and confirms the order, for instance, by shipping the products. Gigi Gummies reserves the right to refuse orders or impose additional conditions.
    2.4. By placing an order, the customer is deemed to have read and accepted the general terms and conditions.
    2.5. In case of an error in the order confirmation (e.g., incorrect prices), Gigi Gummies reserves the right to cancel or amend the order. The customer will be informed accordingly.
    2.6. Any additional agreements or changes are only binding if confirmed in writing.
    2.7. All offers and quotations from Gigi Gummies are non-binding unless explicitly stated otherwise. Offers are valid while supplies last or within the period stated.

    1. PRICES AND PAYMENT

    3.1. All prices are in euros, including VAT and other applicable taxes, unless otherwise stated.
    3.2. Shipping costs are not included unless indicated.
    3.3. Gigi Gummies reserves the right to change prices. If a price increase occurs after the agreement is formed, the customer may cancel the agreement within 14 days unless the change is due to legal requirements.
    3.4. Payment must be made using the available payment methods on the website. Business customers have a 14-day payment term unless otherwise agreed.
    3.5. If payment is late, the customer is automatically in default. Gigi Gummies may charge interest and collection costs.
    3.6. In the event of bankruptcy or payment issues, claims by Gigi Gummies become immediately due.

    1. DELIVERY AND DELIVERY TIMES

    4.1. Orders placed before 10:00 PM on business days are generally shipped the same day. Delivery times are indicative.
    4.2. Delivery is to the address provided by the customer. The customer is responsible for accurate address details.
    4.3. Risk transfers to the customer upon delivery, unless agreed otherwise.
    4.4. If the customer is absent or refuses delivery, Gigi Gummies may charge for storage or reshipping.
    4.5. Gigi Gummies may make partial deliveries, which may be invoiced separately.

    1. RIGHT OF WITHDRAWAL AND RETURNS

    5.1. Consumers have the right to cancel the agreement within 14 days of receiving the product.
    5.2. The customer must send an unambiguous withdrawal notice to Gigi Gummies within this period.
    5.3. The product must be returned within 14 days of the withdrawal notice. The customer bears the risk and cost.
    5.4. Products must be unused, undamaged, and in original packaging.
    5.5. Gigi Gummies will refund the purchase amount including standard shipping costs within 14 days after receiving the return.
    5.6. If the return lowers the total order value below a free shipping threshold, shipping costs may be deducted from the refund.

    1. EXCLUSIONS FROM RIGHT OF WITHDRAWAL

    6.1. The right of withdrawal does not apply to products:

    • That perish quickly or have a limited shelf life.

    • That are not suitable for return due to health or hygiene reasons if unsealed.

    • Made to the customer’s specifications or personalized.

    • That are irreversibly mixed with other items.

    6.2. The right of withdrawal is excluded for services that begin before the withdrawal period ends, with prior customer consent. 6.3. Exclusions will be clearly stated during purchase.

    1. COMPLAINTS AND WARRANTY

    7.1. Gigi Gummies guarantees product compliance with the agreement.
    7.2. Visible defects must be reported within 5 working days.
    7.3. Hidden defects must be reported within 14 days of discovery and within 6 months of delivery.
    7.4. Valid complaints may result in repair, replacement, or refund.
    7.5. Filing a complaint does not suspend payment obligations.
    7.6. No warranty applies in case of misuse, third-party repairs, or external damage.
    7.7. Products must be returned in original condition unless agreed otherwise. Costs and risks of returns are borne by the customer.
    7.8. Gigi Gummies may reject untimely or non-compliant complaints.

    1. LIABILITY

    8.1. Gigi Gummies’ liability is limited to what is stated in these terms.
    8.2. Gigi Gummies is not liable for damage due to misuse, incorrect use, or customer-provided misinformation.
    8.3. Liability is only accepted for direct damages caused by gross negligence or intent.
    8.4. Direct damage includes:

    • Costs to determine the cause and extent of damage.

    • Costs to bring performance in line with the agreement.

    • Costs to prevent or limit damage.

    8.5. Gigi Gummies is not liable for indirect damage, including loss of profit, data, or business.
    8.6. Total liability is capped at the insurance payout or invoice value (max. €5,000).
    8.7. The customer indemnifies Gigi Gummies from third-party claims.
    8.8. Exclusions do not apply in cases of intent or gross negligence by Gigi Gummies.

    1. FORCE MAJEURE

    9.1. Force majeure includes any circumstance beyond Gigi Gummies’ control.
    9.2. Examples include war, natural disasters, strikes, epidemics, and supplier issues.
    9.3. Gigi Gummies may suspend or terminate obligations in such cases.
    9.4. Partial fulfillment may be invoiced separately.
    9.5. Gigi Gummies is not liable for force majeure-related damages.

    1. USE AND SAFETY

    10.1. Customers are advised to consult a doctor before using supplements.
    10.2. Some ingredients may be banned by sports organizations.
    10.3. Use products as instructed.
    10.4. Gigi Gummies is not liable for improper use.
    10.5. Keep products out of reach of children and pets.

    1. INTELLECTUAL PROPERTY RIGHTS

    11.1. All intellectual property belongs to Gigi Gummies or its licensors.
    11.2. Customers may not reproduce or distribute content without permission.
    11.3. Permission must be in writing and may include conditions.

    1. PRIVACY AND DATA PROTECTION

    12.1. Gigi Gummies processes personal data per GDPR regulations.
    12.2. Data is used only to execute the agreement or with consent.
    12.3. Appropriate security measures are in place.
    12.4. Full privacy policy is available on the website.
    12.5. Customers have rights regarding their data and can contact Gigi Gummies to exercise them.
    12.6. Customers are responsible for safeguarding account credentials.
    12.7. Customers must report unauthorized account use immediately.

    1. AMENDMENTS

    13.1. Gigi Gummies may amend these terms. Changes take effect on the stated date.
    13.2. Customers will be notified. Significant changes allow consumers to cancel within 30 days.

    1. ASSIGNMENT

    14.1. Gigi Gummies may assign rights and obligations.
    14.2. Customers may not assign agreements without written permission.
    14.3. Customers will be informed if relevant.
    14.4. Gigi Gummies remains responsible unless otherwise agreed.

    1. FINAL PROVISIONS

    15.1. Invalid provisions do not affect the validity of the rest.
    15.2. These terms, along with other documents, form the complete agreement.
    15.3. Prior agreements expire upon acceptance of these terms.
    15.4. In unforeseen situations, Gigi Gummies will decide reasonably.
    15.5. The agreement language is Dutch unless otherwise agreed.
    15.6. In case of translations, the Dutch version prevails.

    1. APPLICABLE LAW AND DISPUTES

    16.1. Dutch law applies.
    16.2. Disputes will be submitted to the competent court in the district of Gigi Gummies.
    16.3. Consumers may also submit disputes to an official dispute committee or use the European ODR platform.
